Introduction

These Terms of Service ("Agreement") govern the relationship between you ("Client") and Toronto SEO Inc. ("Company" or "we" or "us"), a search engine optimization and digital marketing services provider. By signing up for or using our services, you agree to be bound by these terms.

Services

Toronto SEO Inc. provides a range of search engine optimization (SEO), content marketing, and other digital marketing services, as described in detail in the service agreement or proposal provided to the Client.

Payment Terms

Client agrees to pay the fees for the services as specified in the service agreement or proposal. Fees are due within 30 days of the invoice date, unless otherwise agreed upon. Late payments may be subject to interest and penalties as allowed by law.

Confidentiality

Both parties agree to keep any confidential information received from the other party during the course of the engagement confidential and not to disclose such information to third parties without prior written consent.

Intellectual Property Rights

Toronto SEO Inc. grants the Client a non-exclusive, royalty-free license to use any materials, content, or other intellectual property created or provided by the Company as part of the services. The Company retains ownership of all such intellectual property rights.

Warranty and Disclaimer Toronto SEO Inc. warrants that it will perform the services in a professional and workmanlike manner. However, the Company does not guarantee specific results or outcomes, as search engine rankings, traffic, and other metrics can be influenced by factors beyond the Company's control. The services are provided on an "as is" basis, without warranties of any kind, either express or implied.

Limitation of Liability

In no event shall Toronto SEO Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or in connection with this Agreement or the services provided hereunder, even if the Company has been advised of the possibility of such damages. The Company's total liability under this Agreement shall be limited to the amount of fees paid by the Client for the services giving rise to the claim.

Termination

Either party may terminate this Agreement upon 30 days' written notice to the other party for any reason. Upon termination, the Client shall promptly pay any outstanding fees due for the services provided up to the date of termination.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation or, failing that, through arbitration under the rules of the Ontario Government.

Entire Agreement

This Agreement, along with any service agreement or proposal, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written, between the parties.
